Business and Commercial Law
Experienced on providing guidance and representation to individuals, sole proprietors, businesses, partners, shareholders and employees in a variety of industries in all aspects of commercial negotiations and litigation, including:
- Entity formation and business planning;
- Partnership, joint venture, shareholder, limited liability company, buy-sell and loan agreements;
- Employment, consultant and independent contractor agreements;
- Securities offerings, inclusive of registered public offerings and private placements;
- Mergers and acquisitions including reverse mergers;
- Contract, tort and property disputes, including complex litigation involving multiple parties and claims in federal and state court.
When disputes arise, we are prepared to litigate if necessary. However, our philosophy and practice is to attempt a practical approach to resolve matters timely and effectively to best serve our clients’ interests. This may involve negotiating the dissolution and/or separation of a business relationship. Often the road to settlement may entail a more formal alternative dispute resolution process such as mediation or arbitration. We strongly believe that these alternative dispute resolution options can help protect our clients’ interests and avoid the time, cost and exposure of potentially protracted litigation.
